Terms & Conditions

1. Who we are

121Deliveries ("we", "us", "our") is a B2B technology platform that connects businesses, primarily restaurants ("Clients"), with independent couriers ("Couriers") in the United Kingdom. We are a software-as-a-service (SaaS) marketplace and dispatch technology platform. 121Deliveries is not a transport operator, employer, courier service, or a party to delivery agreements between users.

2. The Service & B2B Order Flow

  • Platform Purpose: The 121Deliveries platform allows Restaurants to manage orders, generate estimated delivery pricing using automated pricing systems, and rapidly dispatch food and goods to end-consumers using local independent Couriers.
  • Order Creation: Clients must provide accurate delivery details, including the end-consumer's delivery address and active mobile phone number.
  • Automated Verification: To secure the delivery, the platform automatically generates and sends a 4-digit verification code via SMS to the end-consumer's phone number when the Courier shifts the status to "Delivering". The Courier must collect this code at the doorstep and enter it into the app to complete the order.
  • Courier Autonomy: Couriers may accept or decline requests at their sole discretion based on our continuous automated queue dispatch system. 121Deliveries facilitates the technology introduction and routing workflow only.

3. Billing Cycle & Renewals

Automated Invoicing: Courier invoices are automatically generated and finalised every Monday at 02:05 UTC (via the weekly billing cron job). An additional daily verification check runs every day at 02:00 UTC.

Payment Model: The platform operates on a Cash-to-Courier model. Couriers collect cash directly from clients and are strictly responsible for settling their outstanding balance/commission owed to the platform based on the generated invoices.

4. Payment Methods

Open Banking: All outstanding platform fees must be settled via the integrated GoCardless (Open Banking) payment gateway.

Instant Processing: Payments are verified using instant background webhooks. Once your bank authorises the transfer, the application automatically processes the payment and updates your balance within seconds.

5. Overdue Suspension & Reactivation

Payment Deadline: Generated invoices must be settled promptly.

Automatic Account Suspension: If an invoice remains unpaid, the system will automatically suspend the courier's account during the daily cron check (02:00 UTC). Suspended accounts cannot accept new delivery jobs.

Instant Account Reactivation: Full account access is restored automatically as soon as the GoCardless webhook confirms a successful Open Banking settlement.

6. Cancelled Orders & Adjustments

Cancelled client orders are handled locally within the system's cash-to-courier logic. No third-party split payment systems (such as Stripe) are used. All balance adjustments will be reflected directly on your /courier/billing dashboard.

7. Data Protection & Processing (GDPR compliant)

  • Roles: In accordance with data protection laws, the Client (Restaurant) acts as the Data Controller for their end-consumers' personal data (names, phone numbers, addresses). 121Deliveries acts strictly as the Data Processor.
  • Scope of Use: Phone numbers inputted by the Restaurant are processed exclusively for the automated delivery verification SMS system and real-time status updates. This data is processed using appropriate technical and organisational security measures, and will never be shared or used for marketing purposes.
  • Courier Obligation: Couriers are strictly prohibited from storing, copying, sharing, or contacting an end-consumer's personal data outside the direct operational scope of executing the specific assigned delivery.

8. Independent Contractors

Couriers using 121Deliveries are independent self-employed contractors. They are solely responsible for their own tax, National Insurance, specialized commercial courier vehicle insurance, and strict compliance with the UK Highway Code.

9. Liability

121Deliveries is not liable for the acts or omissions of any Client, Courier, or end-consumer, including but not limited to temperature, quality, spillage, damage, delays, or condition of any delivered food or item. To the maximum extent permitted by law, the total liability of 121Deliveries is limited to the platform subscription fees paid by the user during the preceding 12 months.

10. Governing Law

These terms are governed by the laws of England and Wales.

11. Legal Relationship

  • 121Deliveries is a technology provider only. We are not a transport operator, common carrier, or a party to delivery agreements between users (Restaurants, Couriers, or end-consumers).
  • Any contractual relationship for the actual transport of goods exists strictly and directly between the Restaurant and the independent Courier.

12. Security

  • We use appropriate technical and organisational measures to protect personal and operational data processed within the platform.
  • End-consumer phone numbers and delivery details are highly restricted, encrypted during transmission, and automatically handled by our system solely for automated SMS code verification.

13. Changes

  • We may update these Terms & Conditions at any time to reflect changes in our service or legal requirements.
  • Updates will be published directly within the platform. Continued use of the 121Deliveries dashboard or courier application after such changes constitute acceptance of the revised terms.
