121Deliveries – Courier Agreement

1. Introduction

This Courier Agreement ("Agreement") governs the use of the 121Deliveries platform by couriers.

By creating or using a courier account, you agree to be bound by this Agreement, the Terms & Conditions, Privacy Policy, and any other policies published by 121Deliveries.

References to "121Deliveries", "we", "us", or "our" refer to the business operated by Maciej Woldanski trading as 121Deliveries.

2. Independent Contractor Status & Cash-to-Courier Model

The Courier operates strictly as an independent self-employed contractor. No employment relationship, partnership, or joint venture is created by this Agreement.

The Platform operates on a Cash-to-Courier model. The Courier collects the full delivery fee and cash for goods directly from the Client at the point of delivery.

The Courier is solely responsible for safely handling all cash collected and acknowledges that 121Deliveries does not hold, split, or process delivery payments on behalf of the Courier.

The Courier has the right to appoint a substitute to perform the delivery services on their behalf, provided that the substitute meets all eligibility criteria, holds valid insurances required by this Agreement, and complies with these terms. The Courier remains fully responsible for the actions, omissions, and payments of any such substitute.

3. Eligibility and Insurance Requirements

To use the platform as a courier, you must:

  • be legally entitled to work in the United Kingdom as a self-employed individual;
  • provide accurate account and vehicle information;
  • maintain a valid UK driving licence (if operating a motor vehicle);
  • maintain valid and subsisting insurance policies appropriate for commercial delivery work, including but not limited to: Public Liability insurance, Goods in Transit insurance, and Hire & Reward / Fast Food Delivery motor insurance (where a motor vehicle is used). Standard social, domestic, and pleasure insurance is not sufficient;
  • keep your information and documents up to date.

4. Courier Services

Couriers may:

  • accept or decline delivery requests;
  • choose when to be online or offline;
  • determine which delivery requests to undertake.

121Deliveries does not guarantee any minimum number of delivery opportunities.

5. Platform Fees & Billing Cycles

In exchange for utilizing the 121Deliveries marketplace and dispatch technology, the Courier agrees to pay the Platform a commission fee per completed job, as detailed in the Courier Dashboard.

Weekly Finalisation: The system automatically aggregates all completed deliveries, calculates the total amount due to the platform, and issues a finalized statement/invoice every Monday at 02:05 UTC.

Daily Reconciliation: A daily system verification check runs every day at 02:00 UTC to audit outstanding balances and invoice statuses.

6. Payment Method (GoCardless Open Banking)

The Courier is required to settle all platform fee invoices exclusively through the integrated GoCardless Open Banking gateway provided in the application dashboard.

Payment is initiated by the Courier via the dashboard and processed instantly via secure banking protocols. The payment is officially recognized by the platform only upon receipt of a successful automated network confirmation (Webhook) from GoCardless.

7. Automated Suspensions for Overdue Balances (Strict Policy)

Immediate Due Date: All weekly generated invoices are due immediately upon finalisation.

Automatic Account Suspension: If an invoice remains unpaid or a balance is overdue during the daily system check at 02:00 UTC, the platform will automatically suspend the Courier's account without prior manual notice.

While suspended, the Courier will be completely restricted from going online, appearing in the client marketplace, or accepting any new delivery jobs.

Automatic Reactivation: Account access will be restored automatically by the system, typically within 60 seconds, once the GoCardless webhook confirms that the full overdue balance has been cleared. The Courier explicitly agrees that 121Deliveries is not liable for any loss of earnings resulting from automated software-driven suspensions due to late payment.

8. Cancelled Orders & Local Adjustments

In the event of a client-cancelled order where cash was not collected, or in case of a legitimate dispute, adjustments to the Courier's outstanding balance will be evaluated and applied locally by 121Deliveries administrators.

No third-party processing tools (such as Stripe) are utilized for courier payout wiring or split invoicing. All verified adjustments will appear directly as credits or debits on the Courier's billing dashboard.

9. Conduct

Couriers must:

  • behave professionally and respectfully;
  • provide accurate status updates;
  • use the platform honestly;
  • comply with all applicable laws;
  • handle items with reasonable care.

Couriers must not:

  • submit false information;
  • manipulate GPS or location data;
  • share accounts with others, except when exercising the right of substitution in compliance with Section 2;
  • engage in fraudulent activity;
  • transport prohibited items.

10. Location Data

Couriers acknowledge and agree that the platform collects, processes, and transmits location data (GPS) while they are online, active, or available for bookings.

Location data is used for courier discovery, dispatch functionality, routing, safety features, live customer tracking, and general service operation. Failure to provide continuous and accurate location data while online may result in a lack of delivery requests or suspension from the platform.

11. Documents and Verification

121Deliveries may request identity, insurance, right-to-work, or other verification documents.

Couriers are responsible for ensuring submitted documents remain valid and up to date.

121Deliveries may suspend access where documents are missing, expired, or inaccurate.

12. Suspension and Termination

121Deliveries may suspend or terminate courier access where:

  • this Agreement is breached;
  • platform fees remain unpaid;
  • fraudulent activity is suspected;
  • required documents are not maintained or have expired;
  • user safety may be at risk.

13. Indemnity

The Courier agrees to indemnify, defend, and hold harmless 121Deliveries (including its owner and employees) from and against any and all claims, liabilities, damages, losses, fines, costs, and expenses (including legal fees) arising out of or in connection with:

  • any breach of this Agreement by the Courier or their appointed substitute;
  • any traffic violations, accidents, or personal injury caused by the Courier during the provision of services;
  • any damage to, loss of, or theft of items during delivery.

14. Limitation of Liability

To the maximum extent permitted by law, 121Deliveries shall not be liable for:

  • loss of earnings;
  • loss of business opportunities;
  • indirect or consequential losses;
  • disputes between couriers and clients.

121Deliveries's total liability is limited to platform fees paid by the courier during the previous 12 months.

15. Changes

121Deliveries may update this Agreement from time to time.

Updated versions will be published within the platform and will take effect when published.

16. Governing Law

This Agreement is governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
